Terms of Service of Alibaba Taobao

If “You” (hereinafter referred to as “User”) are located within Mainland China (excluding the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan Region), then “You” and Hangzhou Alibaba Advertising Co., Ltd. (“Alibaba”) jointly enter into this Alibaba Terms of Service Agreement (hereinafter referred to as the “Agreement”). The terms and conditions set forth in this Agreement shall apply to your use of various services provided by Alibaba based on the Internet, including Taobao websites, client applications, and other forms (including new service forms that may arise from future technological developments).


If “You” are located outside Mainland China, the contracting party with “You” is TAOBAO.COM PTE. LTD. (incorporated in Singapore, Company Registration No. 202349153K), and “TAOBAO.COM PTE. LTD.” shall provide the aforementioned services. The specific content of the services and the legal relationship between “You” and “TAOBAO.COM PTE. LTD.” shall be governed by the Terms of Use, rather than this Agreement. Please carefully read the Terms of Use. By completing the registration process, “You” are deemed to have agreed to the Terms of Use.


This Agreement is the revised version of the Alibaba Terms of Service. From the date of publication of this Agreement, all references to “Alibaba Terms of Service” across the Taobao platform shall refer to this Agreement.


I. Acceptance of Agreement


1.1 This Agreement includes the main body of the Agreement and all rules that Alibaba has issued or may issue in the future by reasonable means of notification. All such rules form an integral part of the Agreement and have the same legal effect as the main body.


1.2 Before clicking “agree” to this Agreement, you should carefully read it. Please ensure that you prudently read and fully understand all terms, especially those regarding liability exemption or limitation, applicable law, and dispute resolution. The clauses exempting or limiting liability will be highlighted in bold and underlined, and you should pay particular attention to them. 1.3 Once you fill in the required information as prompted on the registration page, read and agree to this Agreement, and complete the entire registration process—or in any way access the Taobao platform and use the services—it indicates that you have fully read, understood, and agreed to be bound by this Agreement. If you do not agree with this Agreement or any of its provisions, you should immediately stop the registration process and discontinue using the services.


II. Definitions


2.1 Taobao Platform: Refers to the online information publishing and trading platform for business-to-business (B2B) trade operated by Alibaba, including the Taobao website (domain name: taobao.com) and client applications.


2.2 Alibaba: Refers to Hangzhou Alibaba Advertising Co., Ltd., the operator of the Taobao platform.


2.3 Alibaba Services: Refers to various services provided by Alibaba based on the Internet, including Taobao websites, client applications, and other forms (including new service forms that may arise from future technological developments) (hereinafter referred to as “Services”).


2.4 Taobao Platform Rules: Refers to all rules, interpretations, announcements, etc., published in the Rules Channel of the Taobao platform (domain: rule.taobao.com), as well as rules, detailed implementations, product process descriptions, announcements, etc., published through forums, help centers, and other channels.

2.5 Alibaba Platforms: Refers to the Taobao platform, Taobao Marketplace (domain: taobao.com), Tmall (domain: tmall.com), eTao (domain: etao.com), Juhuasuan (domain: ju.tmall.com), Alimama (domain: alimama.com), Alitrip (domain: alitrip.com), Alibaba International Station (domain: alibaba.com), AliExpress (domain: aliexpress.com), and other websites and client applications.


2.6 Alipay Company: Refers to Alipay (China) Network Technology Co., Ltd., the entity providing Alipay services.


2.7 Affiliates: Refers to other operators of the Alibaba Platforms, excluding Alibaba itself, whether individually or collectively. Affiliates of the Taobao platform service providers shall be as disclosed in the most recent annual report of Alibaba Group Holding Limited.


III. Scope of Agreement


3.1 Contracting Parties

This Agreement is entered into between you and Alibaba, and is equally binding on both parties.


3.2 Supplementary Agreements

Due to the rapid development of the Internet, the terms listed in this Agreement cannot fully enumerate and cover all rights and obligations between you and Alibaba, nor can existing terms fully meet future development needs. Therefore, Alibaba’s Legal Statement, Privacy Policy, and Taobao Platform Rules are supplementary agreements to this Agreement, inseparable from it, and have the same legal effect. Your use of Alibaba Services is deemed as your agreement to the above supplementary agreements.


IV. Account Registration and Use


4.1 User Qualifications


4.1.1 You confirm that, when completing the registration procedure or using the services in other permitted ways, you have the civil capacity required by the laws of the People’s Republic of China corresponding to your actions. If you do not have the required capacity, then you and your guardian shall bear the consequences in accordance with the law, and Alibaba has the right to terminate services and cancel your account. If you register on the Taobao platform on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind such company or entity to this Agreement.


4.1.2 Furthermore, you must ensure that you are not subject to trade restrictions, sanctions, or other legal or regulatory limitations imposed by any country, international organization, or region. Otherwise, you may not be able to register or use the services normally.


4.2 Account Registration


4.2.1 After you fill in the required information, read and agree to this Agreement, and complete the registration or activation process—or in any other way actually use the Alibaba Services—you are bound by this Agreement. You may use your verified email, mobile phone number, or other login methods permitted by Alibaba to access the Taobao platform.


4.2.2 You understand and agree that once you successfully register on the Taobao platform, you will obtain your Alipay login ID (hereinafter referred to as “Account”). You can use this Alipay login ID to log into Alipay and other Alibaba Platforms that support Alipay login without setting up a separate account. However, if you registered before March 18, 2013, or if the email or mobile number you used was already registered on another Alibaba Platform, then the Alipay login function may not be activated by default.


4.2.3 Since your account is associated with your information and commercial information on the Taobao platform, your account is for your personal use only. Unauthorized authorization to third parties to use your account or obtain your account information is invalid. If Alibaba determines that your account usage may endanger account security or Taobao platform information security, Alibaba may refuse to provide services or terminate this Agreement.

4.3 Account Transfer

Since accounts are associated with user credit information, you may only transfer your account under circumstances clearly stipulated by law, judicial rulings, or with Alibaba’s consent in compliance with Taobao platform rules. Once your account is transferred, the rights and obligations under that account transfer accordingly. Otherwise, any unauthorized transfer is invalid, and Alibaba has the right to hold you liable for breach of contract, with all consequences borne by you.


4.4 Real-Name Verification

To improve your use of Taobao platform services and ensure account security, Alibaba may require you to complete real-name verification as required by national laws and regulations.


4.5 Inactive Account Reclamation

Your Alipay login ID may be canceled if all the following conditions are met, thereby terminating access to any Alibaba platform services:


You have not completed real-name verification as required by national laws and regulations and Alibaba’s requirements;


You have not logged into Taobao or any Alibaba platform using your email, mobile phone, or other recognized methods for six consecutive months;


You have no valid, unexpired services.
